Against tougher competition.

Also, the Koch family isn’t exactly a bastion of integrity or ‘softness’. It had to be a pretty ugly situation for them to cut ties.

As for no lawsuit, arrest, etc, I am sure the Koch family took care of the victim(s) in private to make it all go away.
