The USC University officials will make the final decision. They would likely go with what the governor says, but I don't think they are bound by it. Also, the governor only has any say in what happens in the state. What if they were to play off-campus in another state? If they are playing in a stadium without fans, there really would be no difference to playing at home vs somewhere else. So the governors power isn't absolute.
